Do I need a lawyer to incorporate my business in Ontario?+

While you can incorporate without a lawyer, having legal help ensures your articles of incorporation, shareholder agreements, and organizational documents are properly structured from day one. Mistakes at incorporation are common — and often costly to fix later. Solvine Law handles the full incorporation process virtually across Ontario.

What is a shareholder agreement and do I need one?+

A shareholder agreement is a private contract between the owners of a corporation that governs decision-making, voting rights, how shares can be transferred, what happens when someone wants to leave, and how disputes are resolved. If you have a business partner, you need one — without it, the default rules under the Ontario Business Corporations Act govern your relationship, which rarely reflects what the parties actually intended.

What should I look for in a commercial lease before signing?+

Key areas to review include: the rent escalation formula (how rent increases each year), renewal options and notice periods, personal guarantee clauses, assignment and subletting rights, what happens if the landlord sells the property, and who is responsible for operating costs and property taxes (gross vs. net lease). Commercial leases are long and landlord-friendly by default — a lawyer review pays for itself.

What's the difference between an NDA and a non-compete?+

An NDA (non-disclosure agreement) protects confidential information shared between parties — it restricts what someone can share, not what they can do. A non-compete restricts someone from working in a competing business for a certain time and geography. Non-competes are enforceable in Ontario but must be reasonable in scope to hold up. Solvine Law drafts both.
